Professor Brenda Hannigan, Professor of Corporate Law.

As a company lawyer, my research interests lie in the nature of the corporate entity, its purpose and the power dynamics within a company, especially the relationship between directors and shareholders and between majority and minority shareholders.

Particular interests are directors’ duties and shareholders’ remedies; board structures in traded companies and board committees, especially the application of the UK Corporate Governance Code; shareholder engagement, the investment chain and the UK Stewardship Code; narrative reporting, environment, social and governance (ESG) and climate related financial reporting. An overriding research interest is corporate purpose - whether public interest, broadly defined, rather than shareholder primacy, should be the overriding interest in the management of our largest companies.

MA (TCD), LLM (Harv), Solicitor, Ireland (non-practising)

Professor Hannigan is the author of a leading textbook on the subject (Company Law, 6th edition, 2021, OUP)
She is the General Editor of Butterworths Corporate Law Service, consultant editor Butterworths Company Law Handbook and a contributor to Buckley on the Companies Act.
