Professor Brenda Hannigan is the Head of the Southampton Law School and Professor of Corporate Law.

As a company lawyer, my research interests lie in the nature of the corporate entity, its purpose and the power dynamics within a company, especially the relationship between directors and shareholders and between majority and minority shareholders. A lot of my research is focussed therefore on directors’ duties and shareholders’ remedies. I have a particular interest in board structures in traded companies and in shareholder engagement, especially in the operation of the UK Corporate Governance Code and Stewardship Code. The evolution of corporate structures away from the traditional public / private company split is another area of interest, especially in terms of regulatory competition between jurisdictions. An overriding research interest is whether companies can or should have regard to the public interest, rather than shareholder primacy.

 MA (TCD), LLM (Harv), Solicitor, Ireland (non-practising)

Professor Hannigan specialises in Company Law and is the author of a leading textbook on the subject (Company Law, 4th edition 2015, OUP) as well as of numerous articles on the subject.

She is the General Editor of Butterworths Corporate Law Service and a contributor to Buckley on the Companies Act.

Research interests

Professor Hannigan's principal research interests lie in company and insolvency law, particularly in the areas of directors’ duties and shareholder remedies, corporate governance, board roles and responsibilities and shareholder engagement.

Professor Hannigan is a guest member of the Company Law Committee of the Law Society of England and Wales and contributes to the committee’s work in responding to company law reform initiatives. She was a member of the European Model Company Law Working Group which prepared a draft Model Company Law.

She is the General Editor of Butterworths Company Law Service.
